This Affiliate Agreement (“Agreement”) is entered into between Samurai Day Trading Pte. Ltd. (“Company”, “we”, “us”, or “our”) and the individual or entity applying to participate in the Affiliate Program (“Affiliate”, “you”, or “your”).

This Agreement becomes legally binding on the earlier of:

The date on which you indicate your acceptance by selecting or ticking the agreement checkbox during the Affiliate registration process; and

The date on which we approve your Affiliate application.

Your selection of the acceptance checkbox constitutes your electronic signature and confirms that you have read, understood, and agree to be bound by the terms of this Agreement.

Our approval of your Affiliate application constitutes our electronic acceptance of this Agreement.

This Agreement is executed electronically and shall have the same legal effect as a written agreement signed in ink.

1. PARTIES

1.1 Samurai Day Trading Pte Ltd (UEN: 202439851R), a company incorporated in the Republic of Singapore and having its registered office at 531 Upper Cross Street, #02-11 Hong Lim Complex, Singapore 050531 (“Company”, “Samurai”, “we”, “us”, “our”);

1.2 The Affiliate identified in the signature block below (“Affiliate”, “you”, “your”).

2. PURPOSE

2.1 This Agreement governs participation in the Samurai Day Trading Affiliate Program (“Program”).

2.2 The Affiliate may promote Samurai’s educational products and services in exchange for referral commissions, subject strictly to this Agreement.

3. NATURE OF RELATIONSHIP

3.1 The Affiliate acts as an independent contractor.
3.2 Nothing in this Agreement creates employment, agency, partnership, joint venture, fiduciary, or franchise relationships.
3.3 The Affiliate has no authority to bind or represent Samurai.
3.4 The Affiliate is solely responsible for taxes, duties, and statutory obligations in their jurisdiction.

4. REFERRAL TRACKING

4.1 Referrals are tracked exclusively via Samurai’s designated systems.

4.2 A “Referred Customer” means a new customer completing a qualifying purchase through the Affiliate’s approved referral method.

4.3 Tracking records maintained by Samurai are final and binding absent manifest error.

5. COMMISSION STRUCTURE

5.1 Direct Referral Commission (Level 1): Affiliate earns ten percent (10%) of qualifying Net Revenue from personally referred customers.

5.2 Second-Line Referral Commission (Level 2): Affiliate earns four percent (4%) of qualifying Net Revenue generated by affiliates directly introduced by the Affiliate.

6. COMMISSION TIME LIMITATION

6.1 Commissions are payable only on Net Revenue received during the first twelve (12) months from a Referred Customer’s initial purchase date.

6.2 After twelve (12) months, no further commissions are payable.

7. COMMISSION CALCULATION

7.1 “Net Revenue” means gross revenue received less refunds, chargebacks, taxes, discounts, credits, and payment processing fees.

7.2 No commissions are paid on: Self-referrals, Affiliate’s own purchases, Fraudulent accounts, or Refunded transactions.

10. PAYMENTS

10.1 Commissions shall be calculated on a monthly basis during the first week of the following calendar month.
10.2 Commissions are due to be paid on or before the end of the second week of that same month.
10.3 Payments are made within thirty (30) days after month-end.
10.4 Minimum payout threshold: USD $100.

11. MARKETING & COMPLIANCE

Affiliate must comply with Singapore laws (PDPA, Spam Control Act). Affiliate must NOT make profit guarantees or suggest risk-free trading.

16. GOVERNING LAW

This Agreement is governed by the laws of the Republic of Singapore. The parties submit to the exclusive jurisdiction of the courts of Singapore.
